Welcome to Socipic. These Terms of Service (“Terms”) govern your access to and use of the Socipic website, services, games, community features, avatar systems, user-operated shops, design games, and related features (collectively, the “Service”).
By creating an account, accessing the Service, submitting Content, or otherwise using Socipic, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
1. Eligibility
You must be at least 16 years old to use Socipic.
If you are under the age of legal majority where you live, you represent that you have permission from your parent or legal guardian to use Socipic and agree to these Terms.
You may not use the Service if doing so would violate applicable law.
2. Your Account
You are responsible for all activity occurring through your Socipic account and screen name.
You are responsible for maintaining the confidentiality and security of your password and login credentials.
You may not sell, transfer, lend, share, or otherwise provide your account to another person without Socipic’s permission.
Unless Socipic expressly allows otherwise, multiple accounts are prohibited. Duplicate, alternate, or unauthorized accounts may be suspended or permanently deleted.
You must notify Socipic promptly if you believe your account has been accessed without authorization.
Socipic reserves the right to reclaim, rename, or restrict usernames, including usernames that:
- impersonate another person or organization;
- violate another party’s trademark or other legal rights;
- are misleading, offensive, or inappropriate;
- are inactive for an extended period; or
- are reasonably claimed by a business, organization, or individual with a legitimate legal interest in the name.
3. Rules of Conduct
You agree to use Socipic responsibly and lawfully.
You may not use Socipic to post, transmit, upload, distribute, display, or otherwise make available material that:
- is unlawful, threatening, defamatory, fraudulent, obscene, or harmful;
- contains pornography or sexually explicit material prohibited by Socipic;
- promotes or depicts sexual exploitation or abuse;
- infringes another person’s copyright, trademark, privacy, publicity, or other legal rights;
- contains credible threats of violence;
- unlawfully reveals another person’s private or identifying information;
- is intended to harass, stalk, bully, intimidate, or abuse another person;
- is excessively vulgar, crude, sexist, racist, homophobic, transphobic, or otherwise hateful or discriminatory;
- impersonates another user, Socipic staff member, public figure, business, or other person or entity;
- contains malicious software, viruses, worms, corrupted files, destructive code, or other harmful technology; or
- otherwise violates applicable federal, state, provincial, local, or international law.
You may not:
- harass, threaten, intimidate, stalk, or abuse another Socipic user;
- create or distribute spam, unsolicited advertising, or unwanted messages;
- attempt to gain unauthorized access to another user’s account;
- attempt to gain unauthorized access to Socipic’s servers, databases, systems, or administrative tools;
- modify, hack, interfere with, disable, disrupt, or damage the Service;
- exploit bugs, vulnerabilities, or errors for an unfair advantage;
- use bots, scripts, automation, or other unauthorized tools to manipulate the Service;
- falsely suggest that another website, service, product, or account is affiliated with or endorsed by Socipic;
- scrape or systematically collect information from Socipic without authorization;
- circumvent suspensions, bans, account restrictions, or other enforcement measures;
- manipulate games, competitions, voting systems, rankings, or other Socipic features through unauthorized means; or
- use Socipic for any illegal or unauthorized purpose.
International users are responsible for complying with applicable local laws concerning online conduct, intellectual property, privacy, and acceptable content.
4. User Content
Socipic may allow users to submit or display information, usernames, profiles, messages, comments, graphics, photographs, artwork, images, audio, video, links, designs, avatar items, shop content, and other materials (“User Content”).
You are solely responsible for the User Content you submit.
You represent and warrant that:
- you have all rights necessary to submit the User Content;
- your User Content does not violate these Terms;
- your User Content does not infringe the intellectual-property or other legal rights of another person; and
- your submission and Socipic’s permitted use of the User Content will not violate applicable law.
Socipic does not endorse all User Content posted through the Service.
Because Socipic is a community platform, you understand that you may encounter User Content that you consider inaccurate, objectionable, offensive, or inappropriate. Your use of the Service is at your own risk.
Socipic may, but is not obligated to, review, moderate, restrict, remove, or disable access to User Content.
5. Avatar Shops, Design Games, and Original Artwork
Socipic may provide features that allow users to create, submit, distribute, sell, award, display, or otherwise make available avatar clothing, accessories, hairstyles, backgrounds, graphics, templates, or other visual designs through user-operated avatar shops, design games, competitions, or similar features (“Design Content”).
Original Work Requirement
Design Content submitted to Socipic must be your original work, or you must otherwise possess all legal rights and permissions necessary to submit it and grant the rights described in these Terms.
Uploading another artist’s work simply because it has been resized, cropped, recolored, reformatted, filtered, traced, edited, or adjusted to fit a Socipic avatar does not make that artwork original.
Unless you have permission from the applicable rights holder, you may not:
- copy another artist’s design;
- trace another artist’s artwork;
- take artwork from another website, game, social media account, marketplace, or image search and convert it into a Socipic design;
- resize or crop another person’s artwork to fit a Socipic avatar;
- make minor edits to someone else’s design and claim it as your own;
- reproduce copyrighted characters, logos, artwork, or other protected material in a manner that infringes another party’s rights; or
- submit another Socipic creator’s work as your own.
Creators may draw inspiration from fashion, art, pop culture, trends, other creators, and existing concepts. Inspiration, however, does not permit copying another person’s protected expression or presenting another person’s work as your own.
If you incorporate third-party assets, stock materials, licensed artwork, artificial-intelligence-generated material, or other resources into Design Content, you are responsible for ensuring that you possess sufficient rights to use those materials and to grant Socipic the rights described below.
Socipic may remove Design Content that it reasonably believes violates these requirements, regardless of whether a formal copyright complaint has been received.
Repeated submission of copied or infringing designs may result in suspension or permanent termination of your account.
7. Other User Content and Intellectual Property
Except for the Shared Design Content rights described above, Socipic does not claim ownership of the original intellectual property you submit merely because you post it through the Service.
By submitting other User Content to Socipic, you grant Socipic a worldwide, non-exclusive, royalty-free, sublicensable license to host, reproduce, process, display, distribute, and otherwise use that User Content as reasonably necessary to operate, provide, moderate, secure, promote, and improve the Service.
Where technically and legally possible, deleting User Content may remove it from public display. However, copies may remain temporarily in backups, archives, moderation records, legal records, or other systems, and Content previously shared with or received by other users may not necessarily disappear.
The special permanent license applicable to Shared Design Content remains in effect notwithstanding account or Content deletion.
8. Socipic Intellectual Property
Except for User Content and other materials expressly identified as belonging to third parties, Socipic and its licensors own the Service and its associated software, interface, branding, graphics, logos, features, databases, systems, and other proprietary materials.
Nothing in these Terms gives you ownership of Socipic’s intellectual property.
You may not copy, reproduce, modify, distribute, reverse engineer, sell, license, or commercially exploit Socipic’s proprietary materials except as expressly authorized by Socipic or applicable law.
9. Content Moderation
Socipic reserves the right, but does not assume an obligation, to monitor User Content or user activity.
Socipic may remove or restrict Content or accounts that it determines, in its reasonable discretion:
- violate these Terms;
- violate applicable law;
- infringe another party’s intellectual-property rights;
- threaten the security or integrity of the Service;
- pose a risk to users or Socipic;
- are fraudulent, abusive, threatening, obscene, defamatory, or otherwise objectionable; or
- interfere with the operation or community of Socipic.
The fact that Socipic does not remove particular Content does not mean Socipic endorses or approves that Content.
10. Copyright Infringement and DMCA Policy
Socipic respects the intellectual-property rights of others and expects its users to do the same.
Socipic may remove or disable access to Content that it reasonably believes infringes copyright.
Socipic maintains a policy providing for the termination, in appropriate circumstances, of users who repeatedly infringe copyrights or other intellectual-property rights.
Copyright Infringement Notices
If you believe material available through Socipic infringes a copyright that you own or are authorized to enforce, you may submit a written copyright infringement notice containing:
- your physical or electronic signature, or the signature of a person authorized to act on behalf of the copyright owner;
- identification of the copyrighted work claimed to have been infringed or, where applicable, a representative list of works;
- identification of the material claimed to be infringing and information reasonably sufficient for Socipic to locate it;
- information reasonably sufficient for Socipic to contact you, including your name, mailing address, telephone number, and email address;
- a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
- a statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on the copyright owner’s behalf.

Socipic may provide a copy of a copyright complaint to the user who submitted the disputed material.
Counter-Notifications
If Content you submitted was removed or disabled because of a copyright notice and you believe the removal resulted from mistake or misidentification, you may submit a counter-notification containing the information required by applicable law.
Socipic may restore removed Content following receipt of a valid counter-notification where permitted or required by applicable law.
Submitting intentionally false copyright notices or counter-notifications may result in legal liability and termination of your Socipic account.
11. External Use of Socipic Content
Socipic may provide tools that allow certain images, text, profiles, designs, or other materials hosted by Socipic to appear on external websites or services.
Where Socipic expressly permits this functionality, such use is allowed subject to these Terms.
Socipic may require websites displaying Socipic-hosted materials to provide attribution or a link back to Socipic.
Socipic may restrict external embedding or hosting at any time.
12. Suspension and Termination
Violation of these Terms may result in:
- removal of Content;
- cancellation of designs or submissions;
- restrictions on site features;
- temporary suspension;
- loss of privileges;
- termination of your account; or
- permanent prohibition from using Socipic.
Socipic may suspend or terminate an account where reasonably necessary to protect users, enforce these Terms, comply with legal obligations, investigate abuse, or protect the Service.
Serious violations may result in immediate termination without prior warning.
Attempts to evade a suspension or permanent ban through alternate accounts may result in termination of those accounts.
You may stop using Socipic at any time and may delete your account through available account-management tools or by contacting Socipic.
Sections that by their nature should survive termination, including intellectual-property licenses, Shared Design Content rights, disclaimers, limitations of liability, indemnification obligations, and dispute provisions, will continue after termination.
13. Changes to the Service
Socipic may modify, suspend, restrict, discontinue, replace, or terminate all or part of the Service at any time.
Socipic does not guarantee that any particular game, shop, design, feature, account function, username, item, or other component of the Service will remain available indefinitely.
To the maximum extent permitted by law, Socipic will not be liable solely because a feature or portion of the Service is modified, suspended, or discontinued.
14. Changes to These Terms
Socipic may update these Terms from time to time.
When we make material changes, we may provide notice through the Service, by email, through an account notification, or by another reasonable method.
The updated Terms will identify their effective date.
Your continued use of Socipic after updated Terms become effective constitutes your acceptance of the updated Terms to the extent permitted by applicable law.
If you do not agree with updated Terms, you must stop using the Service.
15. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOCIPIC AND THE SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
SOCIPIC DOES NOT WARRANT THAT:
- THE SERVICE WILL ALWAYS BE AVAILABLE;
- THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE;
- ALL BUGS OR SECURITY ISSUES WILL BE CORRECTED;
- USER CONTENT WILL ALWAYS BE AVAILABLE OR PRESERVED;
- INFORMATION PROVIDED THROUGH THE SERVICE WILL ALWAYS BE ACCURATE; OR
- THE SERVICE WILL MEET EVERY USER’S EXPECTATIONS.
YOU USE SOCIPIC AT YOUR OWN RISK.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOCIPIC, ITS OWNERS, OPERATORS, AFFILIATES, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
THIS INCLUDES, WITHOUT LIMITATION, LOSS ARISING FROM:
- USER CONTENT;
- ACCOUNT SUSPENSION OR TERMINATION;
- LOSS OF DATA;
- UNAUTHORIZED ACCOUNT ACCESS;
- INTERRUPTIONS TO THE SERVICE;
- USER DISPUTES;
- THIRD-PARTY CONDUCT; OR
- REMOVAL, MODIFICATION, OR UNAVAILABILITY OF CONTENT OR FEATURES.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
17. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Socipic, its owners, affiliates, officers, employees, contractors, and agents from claims, liabilities, damages, judgments, losses, costs, and expenses arising from or relating to:
- your use of Socipic;
- your User Content or Design Content;
- your violation of these Terms;
- your infringement of another person’s intellectual-property or other rights; or
- your violation of applicable law.
18. No Waiver
If Socipic does not immediately enforce a provision of these Terms, that does not waive Socipic’s right to enforce that provision later.
19. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
20. Entire Agreement
These Terms, together with Socipic’s Privacy Policy and any additional policies or rules expressly incorporated into them, constitute the agreement between you and Socipic regarding your use of the Service.
21. Governing Law
These Terms are governed by the laws of [STATE/PROVINCE AND COUNTRY], without regard to its conflict-of-law principles, except where applicable law requires otherwise.
